I think you are confusing the partition boot record and the master boot
record (MBR). The windows boot record (the one that actually loads the
windows kernel) is in the partition boot record (of the C: partition),
and it is (re)installed with the 'sys' command (which also does more,
as you say).
fdisk /MBR will reinstall the standard MS/DOS master boot record, which
will just boot the active partition (if exactly one partition is marked
active, otherwise it will hang).

So if lilo was installed to hda1 (the partition boot record), then sys
C: would indeed be neccessary.
